Board, Securities and Corporate Liaison
We are open to hiring at higher level also, someone with 3+ years of experience. Compensation would be commensurate with experience.
We are looking to hire someone to work in our Merrillville, Indiana office with a hybrid schedule (2 days/week in office minimum, but could be 3-5 depending on work load)
Job Summary
The Liaison 1 is responsible for a variety of tasks and functions in the corporate securities and governance team within the legal department, including (among other items), supporting the relationship between management and the board of directors, preparing for on and off site board and committee meetings, assisting with Securities and Exchange Commission and New York Stock Exchange filings and disclosure matters, maintaining corporate record books of NiSource and its subsidiaries, including proper and compliant entity management and service of process, preparing and coordinating state and other required filings, and the handling of shareholder services functions for a New York Stock Exchange Listed company. The Liaison 1 will partner with business teams to fully understand problems being solved, extract and prepare data, and contribute to the development of best practices, governance policies and desk procedures for the department.
The Liaison 1 gathers data, and contributes to reports, presentation, timelines & milestones. Furthermore the Liaison 1, as an entry-level professional individual contributor, understands basic concepts of corporate governance and receives instruction, guidance & direction from more senior level roles.
Essential Functions (Primary or as Support or Backup)
Plans and makes all necessary preparations (including travel) for all Board meetings (in-person and virtual), including annual strategy meetings, annual shareholder meetings, periodic off-site Board meetings and any special meetings.
Assists with preparation of Board and committee meeting materials, including Diligent uploads, and drafts communications with the Board when necessary.
Prepares Board and committee meeting calendars, posts calendars and prepares Board & Committee meeting dates for Board approval.
Drafts portions of the proxy statement and gathers, analyzes and maintains documentation of director compensation and other corporate governance back up information.
Coordinates with Corporate Secretary to plan and organize all aspects of the annual shareholders meeting.
Prepares and files all SEC reports pursuant to Section 16 of the Securities Exchange Act of 1934 (e.g., Forms 3, 4, 5 and ID), including powers of attorney as necessary, for all Board members and Section 16 executives, and files all required notices with the New York Stock Exchange.
Prepares securities trading blackout notices and insiders list and maintains accurate files in connection therewith; together with Fidelity, maintains accurate pre-clearance and blackout files and lists for purposes of the stock plans, 401(k) plan, Employee Stock Purchase Plan (ESPP), and Fidelity’s dividend reinvestment plan.
Administers the ESPP and the Dividend Reinvestment and Purchase Plan (DRPP), including maintaining accurate records of quarterly purchases in coordination with Payroll and Fidelity, and allocating Company shares. Coordinates with legal counsel and periodically updates the SEC prospectus related to the ESPP and DRPP.
Prepares NiSource stock information for SEC disclosure (e.g., number of shares outstanding and registered), and calculates shares available for issuance under SEC registration statements and various stock plans, including regular 401(k) wires (there are monthly, quarterly and ad hoc reconciliations for shares outstanding, omnibus plan and ESPP, equity units).
Assists with maintenance of corporate records for NiSource Inc. and its subsidiaries, including compiling and indexing minute books, articles and bylaws, electronically files corporate records for NiSource Inc. and affiliates, maintains stock ledgers and promissory notes, and drafts and circulates annual consents electing directors and officers and declaring dividends and intercompany borrowings.
Prepares and files state and Internal Revenue Services filings, including state annual reports, SS-4, W-4 and Form 996s, and corporate qualifications, formations, withdrawals and dissolutions.
Maintains the relationship with corporate registered agent and supports the service of process for legal communications, including responding to subpoenas.
Responsible for the filings in connection with changes to the organizational structure, including withdrawals, dissolutions, formations and qualifications across several jurisdictions.
Prepares formal documentation evidencing corporate records for third parties, including but not limited to Secretary Certificates and delegations of authority.
Required Qualifications For Position
Bachelor's Degree or equivalent work experience
1-3 years of experience
Experience in administrative tasks or logistics of a publicly traded company
Ability to maintain confidentiality of all matters at all times

Preferred Additional Qualifications for Position
Associate's Degree in paralegal studies
Experience in securities and corporate matters
Experience in governance rules and requirements
Related experience in the utility industry
Certified Paralegal certificate from an ABA qualified program or Associate’s degree in paralegal studies Upon Hire
Work Authorization

Salary Range:
