Seeking Attorney to support the development of insurance solutions that address the exposures of companies and individuals involved in Corporate Mergers and Acquisition Transaction. Requires high-end experience in Mergers & Acquisitions and significant professional exposure to Corporate Law and Taxation, Investment Banking, and Financial Accounting and street-wise comprehension of the critical dynamics parties face during a Merger or Acquisition transaction. *** Lead complex due diligence projects and write due diligence reports *** Collaborate with: Producers, Client Service and Mergers and Acquisitions Team Members, Investment Bankers and Private Equity Firms, Client Companies, and Reciprocal Insurers. *** Investigate and develop solutions to transaction problems and issues. *** Prepare and review deal documents. *** Analyze Tax Structuring. *** Provide "expert" support for: The preparation of submissions and indication summaries; The placement and underwriting process; Negotiations; Clients, Brokers and Producers throughout underwriting process and closings.
