About the Job
We are seeking an experienced Corporate Attorney with expertise in IT, data privacy and security, intellectual property, cyber, and contract law to provide legal advice and support to our organization. This role will focus on third-party contract reviews, Statements of Work (SOW), vendor management, and addressing a variety of IT-related legal matters, including data privacy and security, cyber, e-commerce, AI, and data governance. Additionally, the Corporate Attorney will serve as the legal representative for several cross-functional company committees and workgroups and provide legal support across multiple business functions.
What You'll Do:
- Provide legal guidance on IT, data privacy and security, cyber, intellectual property, and business services through research, drafting, and review of legal documents.
- Draft, review, negotiate and finalize contracts, NDAs, SOWs, software licenses, and vendor agreements, ensuring regulatory compliance and adherence with internal policies.
- Advise on relevant federal and state statutes, focusing on IT, data privacy and security, intellectual property, and contract laws to mitigate legal risks.
- Support cybersecurity initiatives, assisting with risk mitigation and incident response.
- Draft and negotiate service provider policies, procedures, agreements and SOWs, providing legal advice on workflows and industry best practices.
- Provide general legal support, advising on operational legal matters and responding internal inquiries.
What You'll Need:
- Juris Doctor (JD) degree from an accredited law school and active state bar membership in good standing.
- 5+ years of experience as an attorney in a corporate or service provider environment, with strong legal expertise in contracts, IT, privacy, and data security, and intellectual property.
- Demonstrated experience in contract negotiation, drafting, and compliance, particularly within service provider and technology, sectors.
- Knowledge of federal and state regulations related to IT, data privacy and security, data governance, e-commerce, AI, and intellectual property.
- Proven ability to manage cybersecurity risk assessments, incident reporting, and response actions.
- Excellent interpersonal skills with a customer-focused, problem-solving approach.
Nice to Have:
- Experience in commercial banking or financial services.
- Familiarity with the registration and protection of intellectual property, including trademarks, service marks, and copyrights.
- Knowledge of the farm credit system
- Knowledge of industry best practices and risk mitigation related to business continuity, incident response, and crisis communications.
