Attorney - Fund Formation - Marathon Asset Management, LP

Marathon Asset Management is a global credit manager with approximately $22 billion in assets under management. Our platform is well-established with a 20+ year track record of strong returns through investments in the global credit and real estate related markets.  We are currently looking for a Fund Counsel to serve as a key member of our Legal Team, based in New York.

• Negotiating limited partnership agreements, side letter agreements, placement agreements, and other investment management related contracts
• Supporting the preparation and updating of offering documents associated with private fund offerings and providing related advice on legal and regulatory issues
• Advising on the various rules and regulations applicable to private fund offerings, including Regulation D, bad actor certifications, ERISA and investor qualification requirements
• Reviewing and advising on matters related to MNPI procedures and related trading issues
• Addressing ad-hoc legal questions from internal business partners
• Cultivating and promoting relationships with key business partners and fostering and promoting a culture of compliance

• JD required
• 5-10 years of legal experience in a large law firm setting
• Strong knowledge of the Investment Advisers Act, the Investment Company Act and the Securities Exchange Act

• Must have excellent attention to detail across all endeavors as the ability to accurately draft documentation and to supervise outside counsel's precision in drafting is essential

• Should have solid understanding of the full lifecycle of closed-end funds, the significant events of open-ended funds and the sub-advisory arrangements related to various managed accounts

• Excellent soft skills, verbal and written communication skills
• Ability and desire to work in a dynamic, fast-paced and demanding environment
• Strong computer skills including Microsoft Word, Excel, PowerPoint and Outlook

The average salary for this role is $165,000-$175,000 in base pay and exclusive of any bonuses or benefits.  The base pay offered will be determined based on your experience, location, skills, training, certifications and education, and in addition we will also consider internal equity and market data.  We do not anticipate that candidates hired will begin at the top of the range however, from time to time, it may occur on a case by case basis.  Marathon benefits highlights includes (but are not limited to) Medical/Pharmacy, Dental, Vision, HSA, FSA, STD/LTD, Life Insurance, PTO, Commuter Benefits and company provided lunches.
