SHI International Corp. is hiring an Associate General Counsel to join its growing team at SHI’s New Jersey headquarters. The Associate General Counsel will play a key role in SHI’s continually evolving business, partnering with SHI’s General Counsel, Assistant General Counsel, and other teams across the company to reduce risk and assure compliance, while balancing SHI’s business objectives and minimizing friction to facilitate the company’s evolution and growth. This position reports to the Assistant General Counsel and will report to our Somerset, New Jersey office location.

Responsibilities
Include but not limited to:
- With respect to all matters under the supervision of the Assistant General Counsel, the Associate General Counsel will manage the legal aspects of the SHI’s transactional, operational, and compliance matters, as well as occasional litigation and disputes involving commercial, trade secret, unfair competition, and employment issues.
- The Associate General Counsel will provide general corporate legal services as delegated by the Assistant General Counsel and will be involved in a range of projects and issues related to vendor and customer contracts, software licensing, compliance, human resource subjects, and privacy, data protection, and cybersecurity matters.
- The Associate General Counsel will be expected to help minimize the impact of litigation on the business by efficiently managing internal discovery, investigations, subpoenas, and work by outside counsel to achieve optimal results efficiently.
Qualifications
- Very strong academic credentials from a top tier law school and state bar admission in good standing are required.
- The attorney must be a thoughtful legal generalist with 5-8 years of relevant experience gained through a combination of law firm and in-house roles of increasing responsibility.
- A minimum of five (5) years of corporate, commercial, licensing, transactional and/or litigation experience is required.
- Deep experience reviewing, negotiating, drafting, advising about, or litigating commercial contracts with manufacturers, vendors, suppliers, independent contractors, and customers in the IT sector (e.g., reseller agreements, professional service agreements, SaaS agreements, in-bound vendor licenses, customer licenses, data processing agreements, non-disclosure agreements, etc.).
- Deep experience with the application, interpretation, and implementation of the EU General Data Protection Regulation (and its UK counterpart), the California Consumer Privacy Act, and other privacy and data protection regulations.
- Experience with the application, interpretation, and implementation of employee restrictive covenant agreements.
- Experience with Supply Chain Risk Management and ESG compliance, including the application, interpretation, and implementation of the EU Corporate Sustainability Reporting Directive (CSRD), is preferred.
- A combination of top law firm and in-house experience is preferred.

- Must possess the judgment to know when to escalate issues, but the attorney must also have the ability to collaborate and build strong relationships with others across a variety of functional teams, skill sets, and levels of professional experience to create solutions.
- Must have the ability to identify critical issues, prioritize tasks, and manage time efficiently, and must have the desire to learn and teach others about relevant legal and compliance topics, best practices, policies, and procedures.

Additional Information
- The estimated annual pay range for this position is $135,000 - $215,000. The compensation for this position is dependent on job-related knowledge, skills, experience, and market location and, therefore, will vary from individual to individual. Benefits may include, but are not limited to, medical, vision, dental, 401K, and flexible spending.
