Associate General Counsel- Securities and Finance PBF Energy Inc. (NYSE: PBF), one of the largest independent petroleum refiners and suppliers of unbranded transportation fuels, heating oil, petrochemical feedstocks, lubricants and other petroleum products in the United States, is seeking an experienced Assistant General Counsel, Securities and Finance. The AGC will report to the General Counsel and work closely with the Finance, Treasury, and Investor Relations teams to prepare SEC filings, and provide in-depth counsel on SEC compliance, corporate governance matters, debt and equity financings, joint ventures, and general corporate law. The role will also include managing outside counsel. The ideal candidate should have a minimum of five to ten (5-10) years of legal experience as a legal professional, experience at a top-tier law firm or as in-house counsel preparing and reviewing SEC filings and working on complex transactional and commercial matters. PRINCIPAL RESPONSIBILITIES: This position is in office but a hybrid schedule may be considered for exceptional candidates. The successful candidate will: Partner with the Treasury function to provide strategic support for the full range of corporate finance activities, including financings, banking and credit facilities, parent company guarantees and other cash management activities Support the full range of SEC compliance and investor relations activities, including periodic reporting, earnings releases and other investor communications, disclosure committee reviews and Section 16 compliance. Support the Legal Department’s corporate governance, and cybersecurity activities Ensure continuous improvement of and compliance with insider trading policies and procedures Drive corporate governance, proxy drafting, stockholder proposal, stockholder engagement, and annual meeting processes Support strategic, merger and acquisition and corporate business development and similar transactions Other corporate law matters as required SKILLS AND ABILITIES: The successful candidate should: Be able to balance competing priorities and have strong analytical and technical skills Have verifiable knowledge of U.S. public company disclosure, governance, and executive compensation practices as well as experience providing counsel on corporate finance, treasury, corporate secretarial and subsidiary management matters Have a demonstrated ability to work well with and relate to individuals at all levels of the organization, and across all business functions Have business acumen and ability to function as a leader and a doer; capacity to be a strategic thought-leader while focusing on details, accuracy, and execution Be able to influence peers as well as senior management; take ownership of responsibilities and work in a self-directed environment Be able to manage multiple priorities; communicate well orally and in writing; analyze data, draw conclusions, and make a compelling case for recommendations QUALIFICATIONS: JD Degree required At least 5 years of legal experience in practice areas relevant to job responsibilities Licensed to practice law in at least one state within the U.S and, if not admitted to practice in New Jersey, must seek admission to practice as in-house counsel in New Jersey ONLY CANDIDATES MEETING THE ABOVE REQUIREMENTS WILL BE CONSIDERED.
