Job Summary

A rapidly growing hedge fund is seeking an Associate General Counsel to join their dynamic legal team. The ideal candidate will have 3-7 years of experience with a strong background in fund formation, investment management, and transactional matters, preferably within the hedge fund or broader investment management industry. Key Responsibilities

• Fund Formation

  Advise on and manage the legal structuring, formation, and maintenance of investment funds, including drafting and negotiating fund offering documents and related agreements.

  
  

• Transactional Support

  Provide legal guidance on transactional activities, including M&A, joint ventures, and strategic partnerships involving the firm and its portfolio companies.

  
  

• Regulatory Compliance

  Collaborate with compliance teams to ensure adherence to SEC regulations and other applicable laws governing hedge funds and investment management entities.

  
  

• Corporate Governance

  Advise on governance matters, draft board resolutions, and assist with the oversight of fund and management company governance structures.

  
  

• Contract Negotiation

  Draft, review, and negotiate a variety of contracts, including service agreements, side letters, and other fund-related agreements.

  
  

• Risk Management

  Identify and mitigate legal risks associated with the firm's operations and transactions.

  
  

Qualifications

• Experience

  3-7 years of relevant legal experience in fund formation, investment management, and transactional law.

  
  

• Prior experience at a leading law firm, hedge fund, or investment management company is strongly preferred.
• Education

  J.D. from a top-tier law school and active membership in at least one state bar.
