Job DetailsDraft and negotiate agreements for mergers and acquisitions, asset dispositions, loan agreements, and related financing documents.
Assist with drafting and reviewing ancillary deal-specific documents, including legal opinions, resolutions, and secretary's certificates.
Prepare and maintain corporate documents, such as charters, bylaws, shareholder agreements, LLC and partnership agreements.
Provide counsel on governance matters for public and private companies, including drafting minutes, resolutions, and consents.
Draft, review, and negotiate commercial agreements, including non-disclosure agreements, service/vendor agreements, data privacy agreements, and letters of intent.
Collaborate with internal teams and external counsel to ensure compliance with federal and state securities laws.
Assist in drafting and negotiating asset purchase agreements, merger agreements, and related ancillary documents.
Prepare and review subscription and contribution agreements, certificates, and other formation documents.
Juris Doctor (JD) degree from an accredited law school.
Active bar membership in good standing.
Minimum of 5-7 years of experience in transactional law, with Big Law experience strongly preferred.
Expertise in mergers and acquisitions, financing agreements, and corporate governance.
Familiarity with securities filings and compliance requirements.
Exceptional drafting, negotiation, and communication skills.
Strong analytical skills and attention to detail, with the ability to manage multiple projects simultaneously.
