Job Description
Cintas is seeking an Associate General Counsel - Mergers and Acquisitions (M&A). The Associate General Counsel- Mergers and Acquisitions reports directly to the Senior Vice President, Secretary & General Counsel and is responsible for leading all legal-related merger and acquisition (M&A) activities throughout the United States and Canada, including drafting and negotiating Asset Purchase Agreements, Stock Purchase Agreements, Non-Competes, and other ancillary transaction documents. Responsibilities also include coordinating and overseeing legal due diligence and working with the Company’s M&A team to coordinate transaction matters on an enterprise-wide basis. In the event external legal counsel is utilized for a M&A transaction, responsibility will include managing outside M&A counsel.
Skills/Qualifications
Required:
- Must have a Juris Doctorate degree, be admitted to a state bar and possess no less than a total of eight (8) years of full-time responsible, relevant M&A and corporate legal experience.
- High proficiency with technology, including Microsoft Office Suite applications, Adobe Acrobat, and internet search tools.
- Excellent written and oral communications skills, excellent negotiation skills, superior problem-solving ability and strong analytical skills
- Proven organizational skills including managing numerous transactions and projects at once, while ensuring quality and efficiency
- Ability to draft and negotiate complex transaction documents and contracts
- High attention to detail.
- Ability to coordinate transaction matters with relevant business partners throughout the enterprise and manage a team of attorneys
