Position Description:
We are searching for an Associate General Counsel III with experience in regulatory lending compliance and/or drafting loan documents. Reporting to the Sr. Vice President, Deputy General Counsel, this individual will be responsible for providing legal support for technology systems which facilitate online loan application, loan documentation, cash management services, DocuSign/Evault and related IT initiatives related to commercial agricultural and consumer loans. This attorney works closely with IT product teams to draft loan language and assist with implementation of regulatory changes.
This position will also be responsible for records management and data privacy programs and managing internal due diligence processes, insurance renewals and other duties as assigned.
Day-to Day-Duties and Responsibilities:
- Act as primary legal support for technologies provided by the bank in its role as a service provider, including but not limited to loan origination and document generation technology for commercial and consumer financing and real estate transactions with an emphasis on agricultural loans. Span of technology support will cover the entire loan life cycle from application and early disclosures, to closing documentation and post-closing and/or servicing activities, including cash management/online platform, E-signature, application portal and E-Vault.
- Work with the Bank's compliance and documentation testing team to resolve issues and validate loan document enforceability and compliance. Serve as subject matter resource on compliance regulations including the CFPB Small Business Lending Data Collection Rule, TILA, RESPA, TRID Rules, ECOA, FCRA, HMDA and other consumer and commercial regulations, as well as applicable Farm Credit Administration regulations. Monitor and implement new regulations and perform legal research on regulatory issues pertaining to commercial and consumer loans.
- Perform additional tasks as necessary to fulfill the functions of the Legal department. This may include responsibility for legal support of the Bank's records management, legal holds and data privacy programs, responding to internal due diligence requests and oversight of the Bank's insurance coverages. Assist in the analysis of new regulatory requirements and draft comments to proposed rules, and develop policies, procedures, and other documentation.
- Upon request, provide back-up legal support to the Credit department in structuring, negotiating and documenting complex commercial agricultural and agribusiness lending transactions.

It is an important role that covers many skills. This position requires:
- Bachelor's degree and Juris Doctor Degree or equivalent and licensed to practice law in the State of Texas with 5 - 10 years of related experience in commercial loan documentation
- Experience drafting and negotiating commercial, or consumer loan documentation is required
- Familiarity with agricultural and agribusiness lending and/or previous work experience within a regulated bank or financial services institution is beneficial.
- Support of and/or familiarity with commercial or consumer lending and loan documentation technology is helpful, but not required.
- Excellent oral and written communication skills and the ability to develop positive working relationships are required.
