Job Summary:
This new legal executive will report directly to the Deputy General Counsel, and will work closely with him on a diverse array of corporate legal matters including but not limited to the full range of SEC public company reporting for an S&P 500 company, supporting Board meetings and related Board processes, working on corporate policies and processes, enhancing corporate governance, supporting capital markets, commercial bank lending arrangements and other corporate transactions (including potential M&A). In addition, the candidate would be willing to serve as a true generalist in the legal department to support negotiating, drafting, reviewing and advising on commercial transactions, employment, litigation, IP, privacy and other regulatory compliance matters. The ideal candidate will have 10+ years of legal experience with a depth of knowledge and experience as a corporate and securities attorney in a dynamic in-house legal department, ideally at a public company with high entrepreneurial spirit.

Essential Duties and Responsibilities:
- Assist in the preparation, management, and oversight of the company's SEC filings, including periodic reports, current reports, proxy statements, Section 16 filings, securities offerings and other related filings.
- Assist in the oversight and support to the Board of Directors and its Committees in the areas of public disclosures, applicable law, corporate governance and policies, oversight responsibilities, executive compensation and other public company obligations and best practices.
- Drafting and filing of the company's annual proxy statement, including managing shareholder and management proposals. Advising on the annual report and shareholder meeting.
- Ensures compliance with SEC and NASDAQ rules and regulations.
- Provides legal support and guidance with respect to executive compensation, as well as equity plan administration and trading windows.
- Provides legal support to the Corporate Secretary, including the drafting, preparation and review of Board of Director meeting materials, attending meetings, and preparation of meeting minutes.
- Collaborates and provides legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials, and the Company website.
- Provides legal support for the maintenance of the Company's subsidiaries and for corporate transactions, including any debt or equity transactions undertaken by the Company.
- Acts as a key business partner and advisor to the Company's executive team as well as the investor relations, internal audit, finance, human resources and corporate communications functions.
- Experience in as many other practice areas covered by a small, dynamic, in house legal environment, such as commercial contracts, employment, litigation, IP, export compliance, foreign corrupt practices act, privacy and other regulatory areas.
Qualifications:
- 10+ years of relevant experience gained at a leading law firm and/or in-house at a public company.
- Must be admitted, active and in good standing with the State of California
- Candidate must be highly analytical and have exceptional business and legal issue identification and problem-solving skills.
- Requires a practical, business-oriented approach to problem-solving; candidate must be able to effectively counsel internal clients by providing them with clear, concise and pragmatic advice, and creative solutions where necessary, on established timelines to meet their business needs.
- Candidate must be self-motivated and directed, and willing to take initiative.
- Candidate must be able to operate autonomously while being a team player who brings a positive attitude to the workplace and works collaboratively with other members of the Legal team and with internal clients.
- Chinese language skills preferred, but not required.
Salary Range
$220,000 - $257,000
The salary offered will depend on several factors, including your location, level, education, training, specific skills, years of experience, and comparison to other employees already in this role. In addition to a comprehensive benefits package, candidates may be eligible for other forms of compensation, such as participation in bonus and equity award programs.
