About the Job
Core Responsibilities:
- Review and draft contracts in the fields of freight forwarding, transportation, warehousing, distribution, and other logistics-related transactions daily.
- Review contracts, control license matters and perform legal due diligence and case settlement based on leading counsels' advice and guidelines at the Headquarters office in Seoul, South Korea: 15%, approximately 4 hours per week.
- Maintain necessary legal reports and lists; review and monitor the company policies and compliance with government regulations: 5%, approximately 4 hours per week.
- Review and draft contracts across a variety of business functions, including subcontractor agreements, services, and supplier agreements, and non-disclosure agreements; 15%, approximately 4 hours per week.
- Draft standard vendor contract focused on local transportation and warehousing with following client's risk level criteria and reports to Senior Counsel and the Business Management Department Head: 10%, approximately 4 hours per week.
- Search and analyze essential certifications and licenses that they should obtain based on business models the Business Management Department establishes and adopts: 5% approximately 4 hours per week.
- Support Senior Counsel and the company management & executives in formal writings and responses regarding contractual interpretation and enforcement: 10%, approximately 4 hours per week.
- Under the supervision of Senior Counsel, review whether the new business scheme is legally safe based on the company's business license & permits and perform litigation management: 5%. approximately 4 hours per week.
- Develop and negotiate CGL (Commercial General Liability) Insurance, MMIP ( Marine, aviation and Transport, Multi-Modal Insurance Policy) Insurance and provide support to the Department Head by suggesting proposals and solutions: 10% approximately 4 hours per week.
- Research U.S. and Foreign regulations, and customs regulations, affecting transnational supply chains and international operations and report findings, analyses, and compilation to Senior Counsel in our legal team: 5%, approximately 4 hours per week.
- Conduct legal review and manage due diligence under the Senior Counsel's supervision for the company's global logistics, freight forwarding, transportation, warehousing, distribution, and fulfillment: 5%. approximately 4 hours per week.
- Analyze and provide counsel on U.S. and Korean legislation and policy affecting the company's interests: 5%, approximately 4 hours per week.
Identify areas of legal and operational risk arising in the global logistics, freight forwarding, transportation, warehousing, distribution, and fulfillment areas, effectively communicate and counsel senior leaders, and business units in the U.S. and Korea, and support functions on these matters and take steps to implement risk mitigation strategies in these areas in consultation with Senior Counsel and Counsels in the headquarter office in Seoul, South Korea: 10%. approximately 4 hours per week.
Requirements:
- Bachelor's Degree in law or equivalent
- Must be licensed to practice law in the U.S with a certificate of good standing
- At least 3 years of experience as a corporate lawyer in handling company legal matters with a strong focus on contractual matters
- Alternatively, at least 7 years of paralegal experience
- An NJ Bar license is required and/or a CA license preferred
- Excellent oral and written communication skills
- Ability to work well with others and independently
- Critical thinking and multitasking abilities
- Bilingual in Korean/English preferred
