Job Description Summary:
The Vice President, Deputy General Counsel – Litigation, Labor and Employment reports to the company’s General Counsel and Corporate Secretary and is responsible for overseeing all of the company’s litigation and dispute resolution matters as well as labor and employment-related legal matters.

Job Responsibilities (listed in order of importance and/or time spent)
+ Litigation (50%)
+ Work together with the General Counsel and other executive leaders to create and execute enterprise-wide litigation strategy.
+ Manage and coordinate all litigation and dispute resolution matters, including advising senior executives and other business leaders on the risks, benefits, and likelihood of successful outcomes associated with such matters.
+ Oversee all privileged internal and external investigations in collaboration with senior leadership.
+ Ensure efficient electronic discovery and document collection, as well as manage and refine data preservation and e-discovery policies.
+ Collaborate with the finance team to provide advice on financial reserves and other issues relating to litigation and disputes, as well as respond to auditors’ requests for information.
+ Advise the company’s Board of Directors and related committees on litigation-related topics and risk management efforts in service to the Board’s risk oversight responsibilities.
+ Oversee and mentor one direct report dedicated to the efficient resolution of our litigation, labor and employment matters.
+ Labor and Employment – 45%
+ Work together with the Chief Human Resources Officer and General Counsel to develop overall company strategy and direction with respect to labor and employment matters.
+ Collaborate with Human Resources function to develop and implement labor and employment policies, procedures and processes in compliance with federal, state, and local laws and regulations.
+ Provide day-to-day legal advice on all aspects of the employer/employee relationship in areas such as discipline, termination, separation, employment discrimination and harassment, accommodation, leaves of absence, benefits, employee classification, employee privacy, wage and hour, immigration, background checks, and general employment risk management.
+ Advise on internal investigations into employment complaints, discrimination claims, and workplace misconduct, and recommend appropriate courses of action.
+ Collaborate with Human Resources function to investigate and resolve pre-litigation matters, including attorney demand letters and government agency complaints and audits. May often require conducting exposure and liability analysis to strategy for resolution. Working with outside legal counsel as necessary, responsible for preparing and submitting the company’s response to government agency complaints, EEOC charges and audits.
+ Draft, review, interpret and negotiate employment-related agreements as well as related provisions in M&A and other transactions to ensure compliance with legal requirements.
+ Identify and analyze changes in labor and employment laws and regulations, proactively update internal stakeholders on potential impacts and compliance requirements, and help execute mitigation plans as needed.
+ Review and identify employment trends and prevention opportunities for existing and emerging programs and escalate as appropriate.
+ Develop and deliver training programs for managers and employees on labor and employment law matters, promoting a culture of compliance and ethical conduct.
+ Legal Department Operations – 5%
+ Negotiate agreements for preferred vendor relationships.
+ Refine and enforce processes and policies to manage outside counsel usage and spend as well as optimizing workflows within the Legal department.
+ Ensure Legal team processes and systems work seamlessly and efficiently, driving continuous improvement to the operational functioning of the team.
+ Oversee the e-billing process.
+ Supervise vendor management, including conducting RFPs, enhancing processes to engage counsel, and analyzing financial metrics to reduce outside counsel and in-house spend.

Basic Education and/or Experience Requirements
+ Juris doctorate and licensed to practice law in at least one state in the United States.
+ 10+ years of labor and employment-related legal experience at a top-tier law firm and/or in a sophisticated corporate law department.
Basic Qualifications
+ Substantial experience in handling complex litigation and other disputes. Experience with labor and employment-related disputes is preferred, but experience with professional liability and/or general commercial disputes is also desirable.
+ Substantial experience in conducting and managing highly sensitive internal investigations.
+ Proven ability to direct and manage relationships and budgets with outside counsel.
+ Excellent leadership capabilities and interpersonal skills to work effectively at all levels of the organization.
+ Excellent oral and written communication skills.
+ Prioritization skills and ability to drive projects to completion.
+ Being open to change (positive or negative) in response to new information, different or unexpected circumstances.

Preferred Qualifications & Interests (PQIs)
+ Experience with laws specifically impacting healthcare industry generally (e.g., the False Claims Act, the Anti-Kickback Statute) or otherwise operating in a highly regulated industry.

Salary to be determined by the applicant's education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data.
Pay Range is $180,599.08-$301,005.81
