POSITION SUMMARY
Legal Counsel is expected to provide legal research, advice, and other legal assistance as directed by other senior-level lawyers in the corporate legal department. This position also may provide counsel to management within the company and coordinate with outside legal counsel.
DUTIES & RESPONSIBILITIES
- Researching and analyzing law for the preparation of legal memoranda.
- Performing due diligence for a potential transaction involving the company.
- Analyzing and summarizing legal documents
- Reviewing documents for internal clients related to outside parties, outside counsel, vendors and customers.
- Anticipating and mitigating potential legal problems involving the company.
- Draft and administer various commercial, technology, and corporate agreements.
- Legal review of various contracts.
- Learning how the business works.
- Knowing legal issues vs. business issues.
- RFP/RFQ support.
- Contract Maintenance
- Maintain physical and electronic files
- Docketing and Calendaring of contracts
- Current active contracts
- Contract updates
- Cleanup of contracts not still active.
- Form Files
- Create and maintain a set of forms/templates
- Process for maintaining form files
- Integration of form files into process
- Want a professional set of forms and templates (NDA, Supplier, Distributor, Terms & Conditions, etc)
- Commitment to integrity and ethics
QUALIFICATIONS
Education
- Law Degree from an ABA accredited law school
- Admitted and Licensed to practice Law in a State, preferably Arkansas
Training
- CLE Requirements
Experience
- 0-3 Years
Skills
- Proficient with Microsoft Office-especially Excel & ERP systems, capable of identifying and specifying computer based solutions.
- Experienced working with all functional areas and management. Demonstrated ability to influence others in a manner that demonstrates command of the content.
