Corporate Paralegal
Location: Boston, Hybrid
Role Overview:
Support corporate attorneys by preparing for closings, drafting key documents, and managing due diligence. Handle UCC, Tax Lien, and SEC filings, maintain corporate records, and assist with entity formations, mergers, and dissolutions.
Key Responsibilities:
Prepare and assist with closings
Draft corporate resolutions, certificates, and legal opinions
Order and review UCC, Tax Lien, and Litigation Searches
Manage SEC and UCC filings, entity formations, and annual reports
Process audit letters and handle other tasks as needed
Qualifications:
Bachelor’s degree
4+ years of corporate paralegal experience in a law firm
Strong communication, organizational, and problem-solving skills
Ability to work independently and as part of a team
Proficient in Microsoft Office; quick to master new software
High integrity, attention to detail, and customer service excellence
Attributes:
Proactive, positive attitude
Able to handle confidential matters discreetly
Self-motivated and reliable
Salary: Commensurate with experience
