OVERVIEW:
This position requires an experienced, professional and business-minded attorney who will provide functional counsel, sound legal advice and overall support on a wide range of corporate and real estate matters relating to the operations and transactional activities of the Company. The professional in this role will also maintain primary responsibility for all regulatory compliance and cooperate governance matters for the Company, its subsidiaries, and investment partnerships.
Reporting to both the President and the CEO, this individual will be a trusted member of the Company’s executive team. The required experience should include a detailed knowledge and practical and demonstrable experience in the preparation, negotiation and analysis of legal contracts and other such documents related to the Company’s business activities. Multifamily, retail, tax, finance, labor, employment, and/or corporate experience are a plus.
Responsibilities:
Key responsibilities include but are not limited to:
- Providing advice, support, research, analysis and training to all business teams on matters of legal and regulatory significance and in furtherance of the Company’s business objectives. The scope may include: employment and employee-relations; property operations and landlord-tenant engagement; residential and commercial leasing; fund administration; investment policies and procedures; real estate and financial transactions; partnership/entity structuring and management; broker licensing laws; corporate compliance and risk-management; other matters related to the business and operations of the Company.
- Draft and review legal documents and company policies and/or manage outside counsel in the drafting and review of legal documents and company policies related to the Company’s business activities.
- Understand the Company’s corporate and transactional risk profile and communicate that to outside counsel to ensure all documents, contracts, policies and procedures are drafted accordingly.
- Collaborate effectively with clients, colleagues, and external stakeholders to develop and execute both strategic and tactical legal solutions.
- Manage multiple matters simultaneously and prioritize tasks effectively to meet deadlines and deliver high quality work products.
- Help implement best practices concerning corporate and property operations; investment policies, procedures and reporting; regulatory compliance; and HR/employment matters.
- Work with executive team on matters of corporate governance, including board meetings, resolutions, and transaction approvals.
- Serve as an integral member of the Company’s risk-management team, to source and secure the appropriate insurance products/coverages, develop risk-mitigations strategies, and review and implement effective policies and procedures to protect corporate and real estate assets.
- Set up and administer a litigation management system. Supervise outside counsel and assist on certain litigation matters.
Required Qualification
- 7-10 years of law firm or in-house legal experience specific to real estate.
- Admitted to the Bar in PA with membership in good standing.
