The purpose of this job is to oversee the development and implementation of risk management plans for projects and manage all contractual relationships of Austin Commercial.
Essential Duties and Responsibilities:
- Oversee the development and implementation of risk management plans for projects and manage all contractual relationships of Austin Commercial.
- Manage review, negotiation, and execution process for contracts, including, but not limited to, Prime Contracts, Master Service Agreements, Subcontract Agreements, Consulting Agreements, Licensing Agreements, Purchase Orders, Statements of Work, Non-Disclosure Agreements, Sales/Purchasing Agreements, Outsourcing Agreements, and Amendments.
- Draft, review, revise, and negotiate contracts and manage document version control and redline process.
- Conduct qualification, proposal, and contract reviews prior to bid submission.
- Identify and develop mitigation for contractual and operational risk in contract documents.
- Work closely with operational team members to ensure understanding of key risks of projects during the proposal, estimating, negotiation, and implementation phases of the project life cycle.
- Report contract status and progress in support of negotiations.
- Provide risk awareness to operational team during project site visits.
- Allocate risk through owner contract negotiations.
- Transfer risk during subcontract/supplier contract negotiations.
- Assist project teams with appropriate documentation and correspondence during disputes/claims.
- Coordinate insurance and bonds through corporate risk management for ongoing projects.
- Ensure compliance with corporate contract review policy.
- Review projects for compliance with company operating policies and contract terms.
- Train project teams about transferring risk through contractual terms.
- Develop and teach training classes regarding contractual terms and conditions.
- Work closely with Legal in drafting and updating contract templates.
- Maintain contract template repository and library of required regulatory, technology and compliance provisions.
- Perform other job-related duties as assigned.
Qualifications:
- Bachelor’s degree required, Juris Doctor (JD) degree strongly preferred.
- At least 5 years’ experience as a construction lawyer or 8 – 10 years’ experience as a Risk Manager, Contract Administrator, or paralegal for a large construction company with extensive experience assessing risk, mitigating risk, and reviewing and negotiating prime contracts and subcontracts.
- Ability to work independently, efficiently, and proactively on multiple projects under tight deadlines while maintaining a commitment to quality.
- Strong customer service skills and ability to develop effective relationships with key project stakeholders.
- Ability to assess and analyze data and make risk mitigation recommendations to project management.
- Ability to adapt and adjust to multiple demands and competing priorities.
- Excellent written and oral communication and negotiation skills.
- Excellent analytical, organizational, and project management skills.
- Proficiency in standard operations and communication software (Microsoft Office Suite, Word, Excel, Outlook, PowerPoint).
- Experience with Contract Management Software (Agiloft)
