We are currently seeking an Associate Attorney with experience in Corporate Transactions to join our Miami office.

Requirements:

• Active member of the Florida Bar in good standing.
• 4-6 years of experience in corporate transactional legal matters.
• A strong understanding of the various corporate structures.
• Drafting governing documents for corporations, limited liability companies limited partnerships, and other entity types.
• Reviewing and drafting various types of commercial agreements.
• M&A transactions including due diligence and negotiations.
• International and domestic tax knowledge is a plus but not required.
• Experience with Trademark registration and handling objections/challenges from the USPTO and third parties is a plus but not required.
• Bilingualism (Spanish and English) is not required but preferred.
• Self-motivated and driven, with a focus on long-term career goals.
• Excellent communication skills.
• Strong writing abilities.
